When an agreement for sale promises vacant possession, the seller undertakes that on the completion date nobody will be living in or occupying the property, and that the seller’s furniture, rubbish and other belongings will be gone. The buyer gets the keys and full control, not just the legal title.
Why the wording matters in Jamaica
Jamaica’s rent laws make it hard to remove a tenant quickly. A residential tenant generally has to receive a valid notice to quit, and if they refuse to leave the landlord must go to court. A seller who promises vacant possession while a tenant, relative or caretaker is still in the house may be unable to deliver on time, delaying completion and possibly putting the seller in breach. Courts have also held that wanting to sell with vacant possession is not, by itself, the same as the landlord needing the premises for their own use.
Buyers, especially those using a mortgage or buying from overseas, should ask their attorney to confirm the property’s occupancy before signing and to tie the release of the balance of the price to actual handover of an empty property. A pre-completion visit is the simplest check.
If a buyer is happy to take over an existing tenancy, the sale is instead made subject to the tenancy.
