Every Jamaican agreement for sale names a day on which the deal is to close. The completion date is that day: the point at which the buyer pays the balance purchase price, the seller hands over the executed transfer, the duplicate certificate of title and possession, and the transaction moves to registration at the National Land Agency. It is also called the closing date.
How it is set
Jamaican agreements usually express completion as a period, such as a set number of days after signing, or link it to an event, such as the buyer’s mortgage commitment or the issue of a split title. The period is negotiated and should allow realistic time for title checks, the mortgage and any outstanding approvals. Off-plan purchases from developers tie completion to the finishing of the unit and the issuing of individual titles, which is why completion dates in new schemes often slip.
What happens on the day
Completion in Jamaica is rarely a meeting in one room. The two attorneys exchange documents and money, frequently by undertaking. The buyer’s lender pays its loan amount to the vendor’s attorney against an undertaking to deliver the transfer and title. The vendor’s attorney pays off any existing mortgage, transfer tax and agreed costs, and the buyer’s attorney lodges the transfer for registration. Keys are handed over when the agreement says, usually on completion.
When it slips
Delays are common: a valuation comes in low, a title has an old mortgage still registered, a probate is unfinished, or funds from abroad are held up in compliance checks. Many agreements allow either side to serve a notice making time of the essence after the date passes, giving the other a final deadline before the agreement can be rescinded. Some agreements charge interest on the balance for late completion.
Practical tip
Do not book movers, give notice on a rental or commit sale proceeds to another purchase until your attorney confirms that completion is genuinely ready, including the lender’s funds. In England, completion follows exchange of contracts and is usually fixed precisely; in Jamaica the date is more often a target that the parties work towards.
